1. Acceptance of License

1.1 Agreement to Terms

This End User License Agreement ("EULA" or "License") is a legal agreement between you (either an individual or a single legal entity) and Washburn Solutions LLC ("Licensor," "we," "us," or "our") for the PrecisionOps software application, including any associated media, printed materials, online or electronic documentation, and updates ("Software").

1.2 Related Agreements

This EULA governs your license to use the Software. Your use of the PrecisionOps service is also governed by:

• Terms of Service - Service relationship terms
• Privacy Policy - Data collection and handling
• Subscription Agreement - Payment and subscription terms

In the event of conflict between this EULA and the Terms of Service regarding software licensing matters, this EULA controls.

1.3 Authority to Accept

If you are accepting this EULA on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to this EULA. In such cases, "you" and "your" refer to both you individually and the entity.

2. License Grant

2.1 Grant of License

Subject to the terms of this EULA and payment of applicable subscription fees, Washburn Solutions LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install the Software on devices owned or controlled by you or your organization
• Use the Software for your internal business operations
• Access the Software through supported platforms (mobile, desktop, web)

2.2 Scope of License

2.3 Per-Seat Licensing

The Software is licensed on a per-seat basis as defined in your subscription:

• Each seat permits one user to access the Software
• Users may access from multiple devices but not simultaneously per seat
• Seat count determines your licensed capacity

2.4 Offline Use

The Software includes offline functionality:

• You may use the Software without an internet connection
• Data synchronization requires periodic connectivity
• Certain features require active connectivity to function

3. License Restrictions

3.1 Prohibited Actions

You may NOT:

Reverse Engineer	Decompile, disassemble, or reverse engineer the Software
Distribute	Sell, rent, lease, sublicense, or distribute the Software
Transfer	Transfer your license to another party without written consent
Remove Notices	Remove or alter proprietary notices, labels, or marks
Circumvent	Bypass technical protection measures or license verification
Benchmark	Publish benchmark or performance comparisons without consent
Compete	Use for competitive analysis or to develop competing products

3.2 Technical Restrictions

You may NOT:

• Attempt to gain unauthorized access to Software components or systems
• Interfere with or disrupt the Software's operation or security features
• Use automated systems to access the Software beyond normal use
• Extract or scrape data from the Software through unauthorized means
• Modify, disable, or circumvent license key mechanisms
• Use the Software in a manner that exceeds your licensed seat count

3.3 Use Restrictions

The Software may only be used for:

• Legitimate field service management business operations
• Purposes consistent with the Terms of Service
• Lawful activities in compliance with applicable laws

3.4 No High-Risk Use

4. Intellectual Property

4.1 Ownership

The Software is licensed, not sold. Washburn Solutions LLC retains all right, title, and interest in and to:

• The Software and all copies thereof
• All intellectual property rights in the Software
• Trademarks, service marks, and trade names
• Patents, copyrights, and trade secrets
• Documentation and training materials

4.2 No Transfer of Rights

This EULA does not transfer any ownership rights. You acquire only the limited license rights expressly granted herein.

4.3 Proprietary Notices

The Software contains proprietary notices and copyright information that you must maintain on all copies.

4.4 Your Data

You retain ownership of data you create using the Software ("Your Data"). By using the Software, you grant us a limited license to process Your Data solely to provide the Software's functionality.

4.5 Feedback

If you provide feedback, suggestions, or ideas about the Software, you grant us the unrestricted right to use such feedback without compensation or attribution.

5. Third-Party Components

5.1 Open Source Software

The Software may include open source software components subject to their respective licenses. A list of open source components and their licenses is available within the Software's settings or documentation.

5.2 Third-Party Services

The Software integrates with third-party services (see Terms of Service Section 8). Your use of such services is subject to their respective terms.

5.3 Third-Party Notices

Third-party software notices and license terms are incorporated by reference and available at:

• In-app: Settings > About > Open Source Licenses

6. Updates and Modifications

6.1 Software Updates

We may provide updates, patches, or new versions of the Software:

• Automatic Updates: The Software may download and install updates automatically
• Manual Updates: Some updates may require manual installation
• Required Updates: Certain updates may be required to continue using the Software

6.2 Feature Changes

We reserve the right to:

• Add, modify, or remove features
• Change functionality with reasonable notice
• Discontinue the Software with appropriate notice per the Terms of Service

6.3 Update Terms

Updates are subject to this EULA unless accompanied by a separate license agreement. By installing updates, you accept any new or modified terms.

7. Data Collection and Privacy

7.1 Data Collection

The Software collects certain data as described in our Privacy Policy, including:

• Account and authentication information
• Usage data and analytics
• Device information
• Crash reports and diagnostics

7.2 Offline Data

Data created offline is stored locally on your device until synchronized with our servers.

7.3 Telemetry

The Software may collect anonymous usage telemetry to improve the product. You may opt out of non-essential telemetry in the Software's settings.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WASHBURN SOLUTIONS LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY: Implied warranties of merchantability
• FITNESS: Fitness for a particular purpose
• NON-INFRINGEMENT: Non-infringement of third-party rights
• ACCURACY: Accuracy or reliability of the Software
• UNINTERRUPTED USE: Uninterrupted or error-free operation
• SECURITY: Freedom from viruses or harmful components

8.3 No Guarantees

WE DO NOT WARRANT THAT:

• The Software will meet your specific requirements
• The Software will be uninterrupted, timely, secure, or error-free
• Results from using the Software will be accurate or reliable
• Any errors in the Software will be corrected

8.4 Professional Tools Disclaimer

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WASHBURN SOLUTIONS LLC BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute goods or services
• Business interruption or loss of goodwill
• Any damages arising from your use or inability to use the Software

9.2 Liability Cap

OUR TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE GREATER OF:

• The amount you paid for the Software in the twelve (12) months preceding the claim, OR
• One hundred U.S. dollars ($100.00)

9.3 Basis of the Bargain

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.4 Essential Purpose

THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

9.5 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

10.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless Washburn Solutions LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software
• Your violation of this EULA
• Your violation of any third-party rights
• Your data or content
• Your business operations conducted using the Software

10.2 Indemnification Procedure

We will provide you with prompt notice of any claim and reasonably cooperate in the defense at your expense.

11. Term and Termination

11.1 Term

This EULA is effective until terminated. Your license continues as long as you comply with these terms and maintain an active subscription.

11.2 Termination by You

You may terminate this EULA at any time by:

• Uninstalling the Software from all devices
• Canceling your subscription
• Ceasing all use of the Software

11.3 Termination by Us

We may terminate this EULA immediately if:

• You breach any term of this EULA
• You fail to pay applicable fees
• Your subscription is terminated
• Required by law or court order

11.4 Effect of Termination

11.5 Survival

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and General Provisions.

12. Export Compliance

12.1 Export Laws

The Software may be subject to U.S. export control laws and regulations. You agree to:

• Comply with all applicable export and re-export laws
• Not export the Software to prohibited countries or persons
• Not use the Software for prohibited purposes (nuclear, chemical, biological weapons, missile technology)

12.2 Restricted Destinations

You may not use or export the Software:

• To any country subject to U.S. embargo
• To any person or entity on U.S. denied parties lists
• For any purpose prohibited by U.S. export laws

12.3 Your Representations

You represent and warrant that:

• You are not located in an embargoed country
• You are not on any U.S. government denied party list
• You will not use the Software for prohibited purposes

13. U.S. Government End Users

13.1 Commercial Software

The Software is "commercial computer software" and "commercial computer software documentation" as defined in applicable federal regulations.

13.2 Government Rights

U.S. Government end users acquire the Software with only those rights set forth in this EULA, consistent with:

• FAR 12.212 (Computer Software)
• DFARS 227.7202 (Commercial Computer Software)

13.3 Restricted Rights

If the Software is acquired under a U.S. Government contract, use, duplication, or disclosure is subject to the restrictions in this EULA and applicable regulations.

14. General Provisions

14.1 Governing Law

This EULA is governed by the laws of the State of Idaho, without regard to conflict of law principles.

14.2 Dispute Resolution

Disputes arising under this EULA are subject to the dispute resolution provisions in the Terms of Service, including binding arbitration and class action waiver.

14.3 Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and Subscription Agreement, constitutes the entire agreement regarding the Software.

14.4 Severability

If any provision of this EULA is found unenforceable, the remaining provisions continue in full force and effect.

14.5 Waiver

Failure to enforce any provision of this EULA does not constitute a waiver of that provision.

14.6 Assignment

You may not assign this EULA without our written consent. We may assign this EULA to a successor or acquirer.

14.7 Notices

Notices under this EULA may be provided:

• To you: Via email to your registered account or in-app notification
• To us: Via email to legal@washburnsolutions.com

14.8 Language

This EULA is written in English. Any translations are provided for convenience only; the English version controls.

14.9 Headings

Section headings are for convenience only and do not affect interpretation.
